By accessing and using the Bent Solutions website (bent.solutions) and services, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

Bent Solutions operates two specialized divisions:

Bent AI Solutions: Provides on-premise AI server hardware, installation, configuration, and support services
Bent Low Voltage Solutions: Provides low voltage electrical contracting services including IP security camera systems, access control, video intercoms, and network infrastructure installation

3. Service Agreements

Specific services are provided under separate service agreements that detail:

Scope of work and deliverables
Pricing and payment terms
Installation timelines and schedules
Warranty and support terms
Equipment specifications and performance expectations

In the event of any conflict between these Terms and a specific service agreement, the service agreement shall prevail.

4. Eligibility

Our services are intended for businesses and individuals who are at least 18 years of age. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

5. Quotes and Pricing

All quotes are valid for 30 days unless otherwise specified
Prices are subject to change based on equipment availability and market conditions
Custom quotes are provided based on specific project requirements
Final pricing is confirmed in writing before project commencement
Additional charges may apply for scope changes or unforeseen circumstances

6. Payment Terms

Payment terms are specified in individual service agreements
Typical payment structure includes deposit, progress payments, and final payment upon completion
Late payments may incur interest charges as specified in service agreements
We reserve the right to suspend services for non-payment

7. Installation and Service Delivery

Bent AI Solutions

Professional installation included with hardware purchases
Installation timelines depend on equipment availability and site readiness
Client responsible for providing suitable environment (power, cooling, network connectivity)
Configuration and training provided as specified in service agreement

Bent Low Voltage Solutions

Licensed and insured electrical contracting services
Installation performed by certified professionals
All work complies with applicable electrical codes and standards
Site surveys conducted prior to installation
Client responsible for providing access to installation areas

8. Warranties and Guarantees

Equipment Warranties

Hardware covered by manufacturer warranties
Warranty terms vary by equipment and manufacturer
We facilitate warranty claims and provide support

Installation Warranties

Workmanship warranty on all installations
Warranty period specified in service agreement
Warranty covers defects in installation, not equipment failure or misuse

9. Limitations of Liability

To the maximum extent permitted by law:

Bent Solutions shall not be liable for indirect, incidental, special, or consequential damages
Our total liability shall not exceed the amount paid for the specific service in question
We are not responsible for damages resulting from improper use, unauthorized modifications, or force majeure events
Clients are responsible for backing up their own data

10. Intellectual Property

All content on the Bent Solutions website is protected by copyright and trademark laws
You may not reproduce, distribute, or create derivative works without written permission
Client retains ownership of their data and content
We retain ownership of proprietary configurations, documentation, and methodologies

11. Confidentiality

Both parties agree to:

Maintain confidentiality of proprietary information
Not disclose confidential information to third parties without consent
Use confidential information only for the purposes of the service agreement
Return or destroy confidential information upon request or termination of services

12. Data Privacy and Security

We are committed to protecting your privacy as outlined in our Privacy Policy
On-premise solutions keep your data under your control
We implement industry-standard security measures
Clients are responsible for their own data security practices

13. Termination

Either party may terminate services under the following conditions:

Material breach of agreement by the other party
Non-payment or bankruptcy
Mutual written agreement
As specified in individual service agreements

Upon termination, client remains responsible for payment of services rendered up to the termination date.

14. Licensing and Compliance

Bent Low Voltage Solutions

Licensed electrical contractor in the state of New Mexico
All work performed in compliance with state and local electrical codes
Fully insured for liability and workers' compensation
Permits obtained as required by local jurisdictions

15. Dispute Resolution

Parties agree to attempt good-faith resolution of disputes through negotiation
If negotiation fails, disputes may be resolved through mediation or arbitration
Governing law: State of New Mexico
Venue: Courts of competent jurisdiction in New Mexico

16. Indemnification

Client agrees to indemnify and hold harmless Bent Solutions from claims arising from:

Client's misuse of equipment or services
Violation of these Terms or applicable laws
Third-party claims related to client's use of services
Unauthorized modifications to installed systems

17. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, labor disputes, equipment failures, or supply chain disruptions.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Last Updated" date. Continued use of services after changes constitutes acceptance of modified Terms.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Bent Solutions regarding use of our services.
